Identity and acceptance
Muhammad Hafaz Assufy is an individual service provider trading as Fazen and publicly known as Hafaz Sofyan, operating from Lalang, Medan Sunggal, Medan, North Sumatra 20127, Indonesia. References to Fazen mean this service provider.
The website and services are intended for adults who may enter a binding agreement and for authorized representatives of a business or organization. A representative confirms that they have authority to provide instructions, approve work, and commit the named client.
Website and service use
The website may be used to review Fazen's current Brand Launch System, Website Design, Social Media Design, and Presentation Design services and to contact the studio. Website information is general and does not create a quotation, professional advisory relationship, reservation, or obligation to accept work.
- Do not interfere with the website, attempt unauthorized access, introduce malicious code, scrape protected material, impersonate another person, or use the site unlawfully.
- Do not copy Fazen branding, portfolio work, text, systems, or website content except where law permits or written permission is given.
- Future digital products and a future store are outside these terms until separate terms expressly include them.
Contract formation and precedence
A service contract forms only after the client accepts the written quotation or scope in writing and the first commercial PayPal invoice has cleared. A conversation, estimate, invoice issue, provisional schedule, or website message alone does not form a contract.
If project documents conflict, the following order applies from highest to lowest:
- Mandatory applicable law.
- A signed custom agreement or change order.
- The accepted quotation and scope.
- These Terms of Service.
- Website marketing content.
Kickoff, scope, and client duties
Official kickoff requires cleared first payment, an agreed brief summary, confirmed scope and schedule, ready client materials, and one client decision-maker. The listed delivery period begins at official kickoff, not at the first enquiry, quotation, or payment request.
- 04.1Fazen will perform the deliverables and checkpoints stated in the accepted scope using reasonable professional care.
- 04.2The client will provide accurate, lawful, and usable content, claims, assets, access, credentials, approvals, and consolidated feedback through the agreed decision-maker.
- 04.3The client confirms that supplied material may lawfully be used for the project and will identify third-party restrictions before work begins.
- 04.4Missing, late, inaccurate, or changing inputs may pause work, change the schedule, or require a written change request.
Schedule and working days
Working days are Monday to Friday in WIB, excluding holidays observed by Fazen. Weekend work may be used internally but does not create a weekend delivery, feedback, meeting, or response obligation. Public timelines apply only to the qualifying fixed scope and readiness conditions stated for the service.
Consolidated feedback is due within one working day unless the accepted scope states otherwise. A client delay pauses the delivery timeline. Fazen will communicate a revised estimate when the effect can be assessed, but dates affected by client or third-party delay are not guaranteed.
Quotes, invoices, and payment
- 06.1A quotation is valid for 7 calendar days.
- 06.2Every PayPal invoice expires 24 hours after issue. An unpaid first invoice releases the provisional slot, and reissue depends on current availability and a quotation that remains valid.
- 06.3Payment is 50% to reserve the schedule and 50% before source files, publishing, or final handoff. This applies to every fixed-scope package.
- 06.4PayPal Business commercial invoices are the active launch payment method. Normal PayPal processing fees are included in listed package prices, while applicable taxes may be added where legally required.
- 06.5If the final invoice is unpaid, work enters a payment hold and source files, publishing, and final handoff remain withheld until full cleared payment.
Revisions and change requests
The accepted quotation states the included revision quantity and approval checkpoints. A revision refines work within the approved direction and scope. Unused revision rounds have no cash value and do not convert into other deliverables.
A new direction, new concept, new deliverable, additional page or slide, material strategy change, changed approved content, or request beyond a package boundary is new scope. Fazen will identify the price and schedule effect in writing before that work proceeds.
Delivery and third parties
Final approved work is delivered in the formats and platform named in the accepted scope after full payment clears. Editable source files, publishing, transfer, domain connection, or platform handoff are included only when expressly stated. The client should download and safeguard delivered files.
Fazen may configure or deliver through providers such as PayPal, Adobe, Figma, Canva, Framer, Google, Notion, or a client-owned platform when the scope requires it. Those services operate under their own terms, availability, fees, and technical limits. Fazen is not responsible for an external outage, policy change, account restriction, or client-side configuration outside the agreed work.
Intellectual property and licenses
After full payment, the client receives the rights in final approved work stated in the accepted scope. Rejected concepts, unused directions, working files not included in delivery, process materials, methods, and work in progress remain Fazen property. Fazen retains pre-existing tools, know-how, and reusable systems that do not disclose the client's confidential material.
Fonts, stock assets, software, templates, plugins, and other third-party material remain subject to their own licenses. A license does not transfer beyond what its terms allow. The client is responsible for continuing subscriptions or licenses assigned to its account after handoff.
Fazen may publish client work, the client's identity, or project details in a portfolio only after the client gives written opt-in. Silence, payment, delivery, and public launch do not count as portfolio consent.
Confidentiality and data
Each side will use the other's non-public information only to evaluate, perform, pay for, or enforce the project and will disclose it only to people or providers who need it for that purpose. This does not cover information already public without breach, independently developed, lawfully received from another source, or required by law to be disclosed.
Fazen handles personal data under the Privacy Policy. The client must avoid sending unnecessary sensitive data and must have authority to provide any third-party data contained in project material.
Pause, cancellation, and inactivity
One reschedule is free when the client gives at least 5 working days' notice. Less notice, a second reschedule, or a client pause longer than 5 working days removes the project from its active slot. A restart within 30 calendar days retains the approved scope and price but follows current availability. After that period, scope, price, and timeline require a new quotation.
If required feedback, materials, access, or payment remains absent, Fazen may send a written reminder identifying what is needed. If the client remains inactive for 30 calendar days after that reminder, Fazen may close the project, invoice any amount properly due, archive the work, and require new scope and availability for a restart.
A client cancellation and any eligible return are handled under the Refund Policy. If Fazen cancels without client breach or a force majeure reason, Fazen will refund the portion paid for work not delivered and provide usable completed work where lawful and practical.
Service standard and outcomes
Fazen will perform the agreed service with reasonable professional care and will correct a material nonconformity against the accepted scope when notified with enough detail within the applicable correction period. This does not add new scope or cover a third-party change, client edit, unsupported environment, or misuse after delivery.
Creative judgement is subjective and business performance depends on factors outside Fazen's control. Fazen does not guarantee revenue, sales, audience growth, conversion, funding, awards, legal clearance, registration, search ranking, platform approval, or any other business outcome.
Liability
To the extent permitted by law, neither side is liable for indirect, incidental, special, or consequential loss, lost profit, lost revenue, lost opportunity, or loss caused by an external platform. Fazen's total aggregate liability arising from an affected project is capped at the fees actually paid to Fazen for that project.
The cap and exclusions do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of confidentiality, infringement caused by a party's own supplied material, unpaid fees, or liability that applicable law does not allow to be limited. Mandatory consumer or other statutory rights remain unaffected.
Force majeure
A party is not responsible for delay or failure caused by an event reasonably outside its control, including natural disaster, serious illness, war, civil disorder, government action, widespread network or utility failure, or critical third-party service failure. The affected party will notify the other when practical, limit the effect, and resume performance when reasonably possible.
Complaints, disputes, and law
A complaint should be emailed to hello@fazen.co with FZ-LEG-02, the project reference, the relevant term, and the requested resolution. Fazen will acknowledge it within 2 working days and provide a substantive response or action plan within 10 working days when the necessary information is available.
The parties will attempt good-faith written negotiation for 30 calendar days after a complete complaint is received before starting court proceedings, unless urgent relief or a mandatory deadline requires earlier action. These terms are governed by Indonesian law, and the courts in Medan, Indonesia have jurisdiction, while any mandatory rights or forum available under applicable law remain preserved.
